Geminate Solutions provides software development services including staff augmentation, dedicated development teams, and custom software development. Specific terms for individual engagements are governed by separate service agreements between Geminate and the client.

3. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Geminate Solutions Private Limited and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.

For client projects, intellectual property ownership is defined in the individual service agreement. Unless otherwise specified, clients receive full ownership of all custom code and deliverables produced during the engagement.

4. Client Obligations

• Respond to communications and provide feedback in a timely manner
• Make payments according to the agreed schedule

5. Payment Terms

Payment terms are specified in individual service agreements. For staff augmentation services, billing is typically monthly in advance. For project-based work, payment milestones are defined in the project agreement. Late payments may incur additional charges as specified in the service agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes but is not limited to business plans, technical specifications, source code, and client data. Confidentiality obligations survive the termination of the service agreement.

7. Limitation of Liability

To the maximum extent permitted by law, Geminate Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our website or services. Our total liability shall not exceed the amount paid by the client in the twelve months preceding the claim.

8. Warranties and Disclaimers

Our website and its content are provided "as is" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components. Service warranties are defined in individual service agreements.

9. Termination

Either party may terminate a service engagement according to the terms specified in the service agreement. For staff augmentation services, a minimum 2-week notice period is required. We reserve the right to suspend or terminate access to our website for any user who violates these terms.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.

11. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our website after changes constitutes acceptance of the revised terms.
